Ethical Governance

Atau Etika Governance yaitu ajaran untuk berperilaku dengan baik dan benar sesuai dengan nilai-nilai keutamaan yang berhubungan dengan hakikat manusia. Dalam Etika Governance tercantum tentang masalah kesusilaan dan kesopanan yang terdapat dalam aparat, aparatur, struktur, dan lembaganya.

1.  Governance System

            Governance System atau Sistem Pemerintahan. Terdiri dari dua kata, yaitu “Governance” yang       berarti pemerintah dan “System” yang berarti sistem. Pemerintah dalam arti luas memiliki pengertian yaitu segala sesuatu yang dilakukan dalam menjalankan kesejahteraan Negara dan kepentingan Negara itu sendiri. Sedangkan system yaitu sekumpulan unsure atau elemen yang terdiri dari beberapa bagian yang memiliki hubungan fungsional antara bagian-bagian dan hubungan fungsional dari keseluruhan. Dari pengertian itu, secara harfiah berarti sistem pemerintahan sebagai bentuk hubungan antar lembaga negara dalam melaksanakan kekuasaan negara untuk kepentingan negara itu sendiri dalam rangka mewujudkan kesejahteraan rakyatnya. Dapat disimpulkan governance system adalah system pemerintahan Negara dan administrasi hubungan antara lembaga Negara dalam rangka administrasi negara. Sistem pemerintahan mempunyai sistem dan tujuan untuk menjaga suatu kestabilan negara itu sendiri. Namun di beberapa negara sering terjadi tindakan separatisme karena sistem pemerintahan yang dianggap memberatkan rakyat ataupun merugikan rakyat. Sistem pemerintahan mempunyai pondasi yang kuat dimana tidak bisa diubah dan menjadi statis. Jika suatu pemerintahan mempunya sistem pemerintahan yang statis, absolut maka hal itu akan berlangsung selama-lamanya hingga adanya desakan kaum minoritas untuk memprotes hal tersebut.

2. Budaya Etika

Perusahaan mencerminkan kepribadian pemimpinnya. Hubungan antara CEO dengan perusahaan merupakan dasar budaya etika. Jika perusahaan harus etis, maka manajemen puncak juga harus etis dalam setiap tindakan dan kata-katanya. Manajemen puncak memimpin dengan member contoh. Perilaku tersebut merupakan budaya etika.

Manajemen puncak bertugas memastikan bahwa konsep etikanya menyebar di seluruh organisasi melalui semua tingkatan dan menjangkau semua pegawai. Hal tersebut dicapai melalui metode tiga lapis, yaitu:

a.   Menetapkan credo perusahaan. Merupakan pernyataan ringkas mengenai nilai-nilai etis yang ditegakkan perusahaan, yang diinformasikan kepada orang-orang dan organisasi-organisasi baik di dalam maupun di luar perusahaan.

b.    Menetapkan program etika. Suatu sistem yang terdiri dari berbagai aktivitas yang dirancang untuk mengarahkan pegawai dalam melaksanakan lapis pertama. Misalnya pertemuan orientasi bagi pegawai baru dan audit etika.

c.   Menetapkan kode etik perusahaan. Setiap perusahaan memiliki kode etiknya masing-masing. Kadang-kadang kode etik tersebut diadaptasi dari kode etik industri tertentu.

3.   Mengembangkan Struktur Etika Korporasi

Membangun entitas korporasi dan menetapkan sasarannya. Pada saat itulah perlu prinsip-prinsip moral etika ke dalam kegiatan bisnis secara keseluruhan diterapkan, baik dalam entitas korporasi, menetapkan sasaran bisnis, membangun jaringan dengan para pihak yang berkepentingan (stakeholders) maupun dalam proses pengembangan diri para pelaku bisnis sendiri. Penerapan ini diharapkan etika dapat menjadi “hati nurani” dalam proses bisnis sehingga diperoleh suatu kegiatan bisnis yang beretika dan mempunyai hati, tidak hanya sekadar mencari untung belaka, tetapi juga peduli terhadap lingkungan hidup, masyarakat, dan para pihak yang berkepentingan.

              4. Kode Perilaku Korporasi ( Corporate Code of Conduct)

Code of Conduct adalah pedoman internal perusahaan yang berisikan Sistem Nilai, Etika Bisnis, Etika Kerja, Komitmen, serta penegakan terhadap peraturan-peraturan perusahaan bagi individu dalam menjalankan bisnis, dan aktivitas lainnya serta berinteraksi dengan stakeholders.

GCG atau Good Corporate Governance adalah prinsip yang mengarahkan dan mengendalikan   perusahaan agar mencapai keseimbangan antara kekuatan serta kewenangan perusahaan dalam memberikan pertanggungjawaban kepada para shareholder khususnya, dan stakeholder pada umumnya.

Setiap perusahaan atau entitas usaha harus memastikan bahwa prinsip good governance diterapkan pada setiap aspek bisnis dan di semua jajaran. Komite
Nasional Kebijakan Governance (KNKG) memaparkan prinsip-prinsip good governance yaitu transparansi, akuntabilitas, responsibilitas, independensi serta
kesetaraan dan kewajaran diperlukan untuk mencapai kinerja yang berkesinambungan dengan tetap memperhatikan pemangku kepentingan.

Dalam mengimplementasikan Good Corporate Governance, diperlukan instrumen-instrumen yang menunjang, yaitu sebagai berikut:

• Code of Corporate Governance (Pedoman Tata Kelola Perusahaan), pedoman dalam interaksi antar organ Perusahaan maupun stakeholder lainnya.
• Code of Conduct (Pedoman Perilaku Etis), pedoman dalam menciptakan hubungan kerjasama yang harmonis antara Perusahaan dengan Karyawannya.
• Board Manual, Panduan bagi Komisaris dan Direksi yang mencakup Keanggotaan, Tugas, Kewajiban, Wewenang serta Hak, Rapat Dewan, Hubungan Kerja antara Komisaris dengan Direksi serta panduan Operasional Best Practice.

      Sistem Manajemen Risiko, mencakup Prinsip-prinsip tentang Manajemen Risiko dan     Implementasinya.

         An Auditing Committee Contract – arranges the Organization and Management of the Auditing    Committee along with  its Scope of Work. Piagam Komite Audit, mengatur tentang Organisasi dan Tata    Laksana Komite Audit serta Ruang Lingkup Tugas.

5.      Evaluasi Terhadap Kode Perilaku Korporasi

       Evaluasi terhadap kode perilaku korporasi dapat dilakukan dengan evaluasi tahap awal (Diagnostic Assessment) dan penyusunan pedoman-pedoman. Pedoman Good Corporate Governance disusun dengan bimbingan dari Tim BPKP dan telah diresmikan pada tanggal 30 Mei 2005.

Karangan Pengalaman


Ketika tingkat 2 di bangku kuliah, saya pernah mengikuti suatu kursus, kursus tersebut mengenai Bisnis Retail.  Membutuhkan waktu 5 hari untuk dapat mengikuti seluruh rangkaian kegiatan kursus tersebut. Setiap hari kagiatan dimulai pada pukul 9 pagi dan berakhir pada pukul 4 sore. Peserta diberikan pengetahuan tentang apa itu bisnis ritel, baik pengetahuan dasar maupun pengetahuan bagaimana cara menjalankan bisnis tersebut.

Selain pengetahuan kita juga diberikan pengalaman dalam hal bisnis, karena disela-sela kegiatan kursus diadakan semacam kegiatan roleplayer dimana kita para peserta akan berperan sebagai pebisnis dan menjalankan bisnis ritel sebagaimana yang terjadi pada dunia nyata.

Di akhir kegiatan, atau tepatnya pada hari ke lima kami wajib mengikuti test agar mendapat sertifikat kelulusan yang menandakan bawha kami telah mengikuti kursus tersebut. Materi testnya cukup sulit, tapi semua mencakup tentang apa yang sudah kami pelajari selama beberapa hari kursus. Pengumuman kelulusan pun tidak langsung diumumkan hari itu juga, melainkan kami haris menunggu sekitar hampir satu bulan, cukup menegangkan menunggu kepastian, tapi syukurlah akhirnya saya dapat lulus kursus tersebut.

TOEFL

TOEFL adalah singkatan dari Test Of English as a Foreign Language ( Test Bahasa Inggris sebagai bahasa asing), yang diorganisir oleh sebuah lembaga di Amerika Serikat yang bernama ETS (Educational Testing Service).

Pada awalnya, TOEFL diperlukan bagi para pelajar di negara-negara yang bahasa utamanya bukan bahasa Inggris, tetapi ingin melanjutkan study ke negara-negara yang bahasa resminya adalah bahasa Inggris, seperti Amerika Serikat, Kanada, dan negara-negara Eropa Barat.

Ini diperlukan untuk memastikan bahwa siswa-siswa dari negara berbahasa non bahasa Inggris tersebut dapat mengikuti perkuliahan di negara berbahasa Inggris dengan baik. Antara lain untuk:

1. Memastikan bahwa mahasiswa tersebut memahami uraian yang diberikan dosen dalam bahasa Inggris (listening skill).
2. Mahasiswa memahami buku-buku textbook yang diwajibkan (reading skill).
3. Mahasiswa mampu membuat tulisan ilmiah dengan tata bahasa yang benar (writing & grammar skill).

Untuk dapat diterima di negara-negara barat, calon mahasiswa haruslah memiliki TOEFL score minimal 500 (Eropa), bahkan untuk di Amerika Serikat, TOEFL score yang disyaratkan adalah 550. (Nilai maksimal TOEFL Paper Based Test adalah 677).
